TERMS OF SERVICE
Foundation and Frames LLC
Effective Date: August 12, 2026
Location: Harnett County, North Carolina
1. ACCEPTANCE OF TERMS
By booking a shoot, submitting a deposit, signing an invoice, or utilizing the media services of Foundation and Frames LLC (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service. These terms apply to all media creation services, including real estate photography, videography, commercial/brand media, aerial/drone media, and short-form video production conducted in Harnett County, North Carolina, and surrounding regions.
2. SERVICES OFFERED
Foundation and Frames LLC provides digital media production services, including but not limited to:
Real Estate Media: Interior/exterior photography, listing walkthrough videos, aerial drone media, 3D virtual tours, and floor plans.
Commercial & Brand Media: Brand promotional videos, corporate photography, product shoots, and client spotlight videos.
Short-Form Content & Retainers: Social media reels, TikToks, and recurring content creation packages.
3. BOOKING, PAYMENT & CANCELLATION
A. Payment Terms
Real Estate Media: Payment is due in full prior to the final download and release of high-resolution, un-watermarked media files, unless a monthly retainer or prior credit agreement is established.
Brand Media & Retainers: A non-refundable deposit/retainer fee (specified in your project proposal) is required to secure booking dates. Final balances for brand projects are due upon final proof delivery.
Late Payments: Invoices unpaid past thirty (30) days from delivery will accrue a 1.5% monthly late fee or the maximum allowed under North Carolina state law.
B. Cancellation & Rescheduling
Notice Required: Cancellations or requests to reschedule must be submitted in writing at least 24 hours prior to the scheduled shoot time.
Late Cancellation Fee: Cancellations or rescheduling requests made less than 24 hours prior to the shoot will incur a $75 short-notice fee.
On-Site Cancellation / Lock-Out: If the creative team arrives on location and cannot gain access to the property, or if the shoot is canceled upon arrival, the Client will be billed $125.
4. PROPERTY ACCESS & SHOOT READINESS
Readiness: The Client or property owner is strictly responsible for ensuring the property is prepped, clean, staged, and unlocked prior to the arrival of Foundation and Frames LLC.
“As-Is” Production: We shoot properties in “as-is” condition. Our media crew is not responsible for moving furniture, cleaning, staging, or handling personal items due to liability risks.
Delays: If a shoot is delayed past the scheduled start time due to property unpreparedness or late access, Foundation and Frames LLC reserves the right to charge an additional hourly rate or reschedule at the Client’s expense.
5. COPYRIGHT & MEDIA LICENSING
Foundation and Frames LLC retains full, worldwide copyright ownership of all raw and edited photographs, video footage, graphics, and digital assets created under U.S. Copyright Law. All media delivered to the Client is provided under a Limited Usage License, defined below:
A. Real Estate Media Licensing (Standard Listing License)
Granted Usage: Grants the ordering agent/brokerage a non-exclusive, non-transferable license to use the delivered photos and videos for the active marketing of the specified property listing across MLS, real estate portals, social media, print, and personal website marketing until the property is sold, leased, or off-market.
Strict Non-Transferability: The license is granted solely to the client who paid for the shoot. Media may NOTbe sold, transferred, licensed, or given to any third party—including homebuilders, interior designers, stagers, buyers, new listing agents, or commercial vendors—without prior written consent and payment of an additional licensing fee to Foundation and Frames LLC.
B. Brand & Commercial Media Licensing
Usage rights for commercial, corporate, or brand content (including digital ads, broadcast, or commercial distribution) will be defined explicitly in the individual project agreement or proposal.
C. Raw Files
Foundation and Frames LLC delivers polished, fully edited media files. Raw video footage and unedited RAW image files remain the property of Foundation and Frames LLC and are not delivered to Clients unless explicitly negotiated and purchased under a master agreement.
6. TURNAROUND TIMES & REVISIONS
Real Estate Photography: Standard delivery is within 24 to 48 hours following the conclusion of the shoot.
Real Estate Video & Brand Media: Standard delivery ranges from 3 to 7 business days, depending on scope and project size.
Revisions: Real estate packages include one (1) round of minor color or lighting adjustment edits. Major structural edits, object removal via advanced manipulation, or re-editing outside the initial project scope are subject to additional editing fees ($75/hour).
Re-Shoots: Re-shoots required due to client choices (e.g., restaging, changes in weather preference, failure to prep property) will be billed as a new shoot.
7. WEATHER & RESCHEDULING POLICY
Outdoor photography and drone videography depend heavily on weather conditions.
Inclement Weather: If rain, extreme fog, or high winds prevent safe shooting, Foundation and Frames LLC will complete interior work and return to shoot exterior/aerial media at the earliest available date for no additional rescheduling fee.
Client Preference: If the Client insists on shooting during overcast or poor weather conditions, Foundation and Frames LLC is not responsible for sky aesthetics, though sky replacements can be applied upon request for an editing fee.
8. AERIAL & DRONE OPERATIONS
All commercial drone videography and photography are conducted in strict compliance with FAA Part 107 regulations.
Flight operations are subject to air traffic control permissions, local airspace authorizations, weather, and physical safety constraints.
Foundation and Frames LLC reserves the right to cancel or postpone aerial operations on-site if weather, FAA airspace restrictions, or safety risks (e.g., overhead power lines, high winds) endanger equipment or the public.
9. LIMITATION OF LIABILITY
Foundation and Frames LLC takes extreme care in handling client property and media assets. However, our liability for lost files, technical equipment failure, property damage, or missed deadlines is strictly limited to a full refund of the amount paid by the Client for the specific service.
Foundation and Frames LLC is not liable for indirect, incidental, or consequential damages resulting from delays or service disruptions.
10. GOVERNING LAW & JURISDICTION
These Terms of Service are governed by and construed in accordance with the laws of the State of North Carolina. Any legal action, dispute, or proceeding arising under or relating to these terms shall be brought exclusively in the courts of Harnett County, North Carolina.
